Master Terms of Service & Clinical Use Agreement

1. Binding Agreement and Scope of Platform

By provisioning, accessing, or authenticating into the Sauti Care system ("Platform"), the participating clinical facility ("Partner"), including its affiliated physicians, nurses, and administrative users ("Authorized End Users"), willfully agrees to be bound by these Master Terms of Service. This Platform is licensed strictly as an advanced clinical decision support and hospital resource management system under the umbrella of our ongoing research and development initiatives.

2. Absolute Clinical Responsibility & Liability Limitation

CRITICAL DISCLOSURE: Sauti Care is an assistive cognitive algorithm and administrative interface. It is definitively NOT a diagnostic authority or a replacement for licensed medical judgment. All deterministic clinical decisions, patient triage classifications, pharmaceutical prescribing, and interventional treatment plans remain the absolute, unshielded responsibility of the licensed healthcare professionals interacting with the patient. AI-generated probabilistic outputs, warnings, or workflow recommendations must be independently scrutinized and verified by the attending clinician prior to action. Sauti Care and its corporate entities, research partners, and officers explicitly disclaim liability for any direct, indirect, proximate, or consequential clinical outcomes, medical errors, or malpractice occurrences.

3. Authorized Security and Access Controls

System access is strictly permission-gated to registered staff operating within the legal jurisdiction of the Partner facility. As a condition of use, End Users expressly agree to:

  • Maintain absolute confidentiality of cryptographic credentials and adhere to Role-Based Access Controls (RBAC).
  • Utilize the system exclusively for direct patient care, administrative workflows, and approved internal quality assurance.
  • Forfeit any attempt to reverse-engineer, decompile, or exfiltrate the proprietary neural networks and diagnostic models hosted on edge servers.
  • Comply immediately with any data access revocations initiated by the Partner's administration or the Data Protection Commissioner.

4. Hardware Asset Governance

During the subsidized Proof of Concept (PoC) phase, any localized computing hardware, edge inference servers, Internet of Things (IoT) medical telemetry devices, or mobile endpoints provided by Sauti Care remain the exclusionary property of the Sauti Care Research Initiative. The Partner assumes physical liability against gross negligence and agrees to return said assets upon cessation of the partnership unless explicitly transitioned via a capitalized hardware leasing or purchase agreement.

5. Continuous Deployment and Service Continuity

As a clinical-grade architecture undergoing continuous iteration, we execute algorithmic weight updates, security patches, and interface optimizations via Over-The-Air (OTA) deployments. While we guarantee zero-downtime offline redundancy for critical triage functions, Sauti Care reserves the right to modify service parameters to adhere to emerging Software as a Medical Device (SaMD) regulatory edicts from the Pharmacy and Poisons Board (PPB) or equivalent bodies.
